4. User Responsibilities

4.1 Accurate Information

You agree to provide accurate, current, and complete information when using our Services and to update such information as necessary.

4.2 Attorney Advertising Compliance

As our services are provided to legal professionals, you agree that all marketing materials and campaigns will comply with applicable bar association rules, ethics guidelines, and attorney advertising regulations in your jurisdiction.

Client Responsibility: You are solely responsible for reviewing all marketing materials, advertisements, and content created by Legal Edge Marketing to ensure compliance with the ethics rules and attorney advertising regulations of your state bar and any other applicable jurisdictions where you are licensed to practice law. While we strive to create compliant materials, ultimate responsibility for ethics compliance rests with you as the attorney or law firm.

4.3 Prohibited Activities

You agree not to:

  • Use our Services for any unlawful purpose
  • Violate any local, state, national, or international law
  • Infringe on intellectual property rights
  • Transmit harmful or malicious code
  • Attempt to gain unauthorized access to our systems
  • Interfere with the proper functioning of our Services

5. Intellectual Property Rights

5.1 Our Content

All content on our website, including text, graphics, logos, images, and software, is the property of Legal Edge Marketing or its licensors and is protected by copyright, trademark, and other intellectual property laws.

5.2 Client Content

You retain ownership of any content you provide to us. By providing content, you grant us a non-exclusive, worldwide license to use, reproduce, modify, and display such content for the purpose of providing our Services.

5.3 Work Product

Upon full payment for services rendered, you will own the marketing materials, content, and creative work produced specifically for you as outlined in your Service Agreement.

5.4 Portfolio and Case Study Use

Legal Edge Marketing reserves the right to showcase non-confidential client work, including marketing campaigns, website designs, and content examples, in our portfolio, case studies, marketing materials, and presentations unless otherwise agreed in writing. We will not disclose confidential client information, privileged communications, or sensitive business data without your explicit written consent. If you prefer that your work not be displayed, please notify us in writing, and we will honor that request.

5.5 AI Technology Disclosure

Some of our services may utilize artificial intelligence (AI) tools and technologies to assist with content creation, data analysis, research, and marketing optimization. While AI can enhance efficiency and insights, all AI-generated content is reviewed and refined by our team before delivery. Client Responsibility: You are responsible for reviewing all content, materials, and recommendations for accuracy, appropriateness, and compliance with applicable laws and regulations before use. We are not liable for any errors, inaccuracies, or issues arising from AI-assisted work that you approve and publish.

6. Content Approval and Liability

All marketing content, advertisements, and materials created by Legal Edge Marketing require your review and approval before publication or distribution. Once you approve content for publication, you assume responsibility for its accuracy, compliance, and any legal implications. We are not liable for approved content that you choose to publish or distribute.

7. Payment Terms

Specific payment terms, including fees, billing cycles, and payment methods, will be outlined in your Service Agreement. General terms include:

  • Invoices are due within 15 days unless otherwise specified
  • Late payments may incur interest charges
  • Services may be suspended for non-payment
  • You are responsible for all taxes related to services

8. Confidentiality

We will maintain the confidentiality of all non-public information you share with us in connection with our Services. We will not disclose such information to third parties except as necessary to provide Services or as required by law.

9. Non-Solicitation

During the term of your Service Agreement and for twelve (12) months following termination, you agree not to directly or indirectly solicit, recruit, hire, or engage as an independent contractor any employee, contractor, or consultant of Legal Edge Marketing who worked on your account or with whom you had contact during the provision of services. This restriction helps protect our business relationships and investment in our team members.

10. Disclaimers and Limitations

8.1 No Guarantees

While we strive to deliver exceptional results, we cannot guarantee specific outcomes such as search engine rankings, website traffic volumes, or lead generation numbers. Marketing results depend on numerous factors beyond our control.

8.2 Website Disclaimer

Our website and Services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our Services will be uninterrupted, error-free, or secure.

8.3 Limitation of Liability

To the fullest extent permitted by law, Legal Edge Marketing shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to these Terms or our Services. Our total liability shall not exceed the amount paid by you for Services in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Legal Edge Marketing from any claims, damages, losses, or expenses (including legal fees) arising from your use of our Services, violation of these Terms, or violation of any rights of third parties.

12. Force Majeure

Legal Edge Marketing shall not be liable for any failure or delay in performing its obligations under these Terms or any Service Agreement due to events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, epidemics, pandemics, government actions, internet or telecommunications failures, power outages, or failures of third-party service providers. In such events, our performance obligations will be suspended for the duration of the force majeure event.

13. Right to Refuse Service

Legal Edge Marketing reserves the right to refuse service, terminate existing agreements, or decline to renew services to any client at our sole discretion. We particularly reserve the right to decline services for law firms or attorneys engaged in practices we deem unethical, misleading, predatory, or contrary to our company values and professional standards. This includes, but is not limited to, firms that engage in deceptive advertising, unethical client solicitation, or practices that violate bar association rules.

14. Term and Termination

These Terms remain in effect while you use our Services. Either party may terminate a Service Agreement according to its terms. Upon termination:

  • You must pay for all services rendered through the termination date
  • We will deliver completed work product
  • We may retain copies of work product for our records
  • Confidentiality obligations continue after termination

14.1 Survival of Terms

The following provisions shall survive termination or expiration of these Terms and any Service Agreement: Confidentiality obligations, Intellectual Property Rights, Payment Terms (for services already rendered), Indemnification, Limitations of Liability, and Dispute Resolution. These surviving provisions remain in effect to protect both parties' rights and obligations beyond the termination date.

15. Third-Party Services

Our Services may utilize third-party platforms and tools (e.g., Google Ads, social media platforms). You acknowledge that use of such platforms is subject to their respective terms of service and privacy policies.

16. Dispute Resolution

16.1 Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or our Services that are not resolved through arbitration shall be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction of such courts.

16.2 Arbitration

Any disputes arising from these Terms or our Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, except as otherwise specified in your Service Agreement.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with any Service Agreement and Privacy Policy, constitute the entire agreement between you and Legal Edge Marketing regarding our Services.
